Contest Rules & Regulations

NO PURCHASE NECESSARY TO ENTER, WIN, OR CLAIM A PRIZE. A PURCHASE OR PAYMENT WILL NOT INCREASE AN ENTRANT’S CHANCES OF WINNING.

1. Eligibility: Contest [The Federalist Cabinet Of Summer] is open only to those who sign up at the online contest page and who are [25 years of age] as of the date of entry. The contest is only open to legal residents of  [The United States] and is void where prohibited by law. Employees of Terlato, [M Booth], their respective affiliates, subsidiaries, advertising and promotion agencies, suppliers and their immediate family members and/or those living in the same household of each are not eligible to participate in the contest, nor are suppliers, distributors and retailers of alcohol-beverage products; and individuals who are employees of or members of the immediate family or household, whether or not related, of any of the foregoing. The contest is subject to all applicable federal, state and local laws and regulations. Void where prohibited.

2. Agreement to Rules: By participating, you agree to be fully unconditionally bound by these Rules, and you represent and warrant that you meet the eligibility requirements set forth herein. In addition, you agree to accept the decisions of [TERLATO WINES], as final and binding as it relates to the content. The contest is subject to all applicable federal, state and local laws.

3. Contest Period: Entries will be accepted online starting on or about [April 8, 2022] and ending [June 22, 2022]. All online entries must be received by [June 22, 2022] 11:59PM EST.

4. How to Enter: The contest must be entered by submitting an entry using the online form provided on this contest landing page]. The entry must fulfill all contest requirements, as specified, to be eligible. Entries that are not complete or do not adhere to the rules or specifications may be disqualified at the sole discretion of [TERLATO WINES]. You may enter only once and you must fill in the information requested. You may not enter more times than indicated by using multiple email addresses, identities or devices in an attempt to circumvent the rules. If you use fraudulent methods or otherwise attempt to circumvent the rules your submission may be removed from eligibility at the sole discretion of [TERLATO WINES]. 

All photos/videos must comply with these Official Rules.

Entries may not contain, as determined by Terlato Wines & M Booth, in their sole discretion, any content that: (i) is sexually explicit or suggestive (e.g., nudity or pornography); violent or derogatory; profane; (ii) promotes any activities that may appear unsafe or dangerous; (iii) features, advocates, suggests, condones, or treats in a humorous manner the excessive, underage or irresponsible consumption of beverage alcohol products; (iv) is obscene or offensive, including but not limited to words or symbols that might be considered offensive to individuals of any race, ethnicity, religion, sexual orientation or socioeconomic group; (v) portrays Terlato Wines or Terlato Wines’ brands or products in any way that may give rise to public contempt, scandal, disrepute or ridicule or that defames, misrepresents or contains disparaging remarks about Terlato Wines or other people or companies; (vi) contains trademarks, logos, or trade dress (such as distinctive packaging or building exteriors/interiors) owned by others; contains any personal identification; (vii) contains copyrighted materials owned by others (including songs, photographs, sculptures, paintings, and other works of art or images published on or in websites, television, movies or other media); (viii) contains materials embodying the names, likenesses, voices, or other indicia identifying any person, including, without limitation, celebrities and/or other public or private figures, living or dead; (ix) communicates messages or images inconsistent with the positive images and/or good will to which Terlato Wines associates; or (x) violates any law.

5. Prize: Each winner (2) will receive a total prize compensation of [$10,000.00 USD]. The specifics of the prize shall be solely determined by the Sponsor. No additional cash or other prize substitution permitted except at Sponsor's discretion. The prize is non-transferable. Any and all prize related expenses, including without limitation any and all federal, state, and/or local taxes shall be the sole responsibility of the winner. No substitution of prize or transfer/assignment of prize to others or request for the cash equivalent by winners is permitted. Acceptance of prize constitutes permission for [TERLATO WINES] to use the winner's name, likeness, and entry for purposes of advertising and trade without further compensation, unless prohibited by law.

6. Odds: The odds of winning depend on the number of eligible entries received.

7.Winner selection and notification: Winners of the contest will be selected under the supervision of the Sponsor. Winners will be notified via email to the email address they entered the contest within five (5) days following the winner selection. [TERLATO WINES] shall have no liability for a winner's failure to receive notices due to winners' spam, junk e-mail or other security settings or for winners' provision of incorrect or otherwise non-functioning contact information. If the selected winner cannot be contacted, is ineligible, fails to claim the prize within 1 week (7 days) from the time award notification was sent, or fails to timely return a completed and executed declaration and releases as required, prize may be forfeited and an alternate winner selected. Only entries received during the Submission Phase and which are otherwise fully compliant with these Official Rules are “Valid Entries.”  Entrants expressly agree to assume the risk of lost, late, incomplete, garbled, damaged, delayed, illegible, stolen, undelivered or misdirected entries and acknowledge that Released Parties (as defined below) are not responsible for such entries. 

The receipt by winner of the prize offered in this contest is conditioned upon compliance with any and all federal and state laws and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (AT SPONSOR'S SOLE DISCRETION) WILL RESULT IN SUCH WINNER'S DISQUALIFICATION AS WINNER OF THE contest AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

8. Rights Granted by you: By entering this content you understand that [TERLATO WINES], anyone acting on behalf of [TERLATO WINES], or its respective licensees, successors and assigns will have the right, where permitted by law, without any further notice, review or consent to print, publish, broadcast, distribute, and use, worldwide in any media now known or hereafter in perpetuity and throughout the World, your entry, including, without limitation, the entry and winner's name, portrait, picture, voice, likeness, image or statements about the contest, and biographical information as news, publicity or information and for trade, advertising, public relations and promotional purposes without any further compensation.

9. Terms: [TERLATO WINES] reserves the right, in its sole discretion to cancel, terminate, modify or suspend the contest should (in its sole discretion) a virus, bugs, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the contest. In such a case, [TERLATO WINES] may select the recipients from all eligible entries received prior to and/or after (if appropriate) the action taken by [TERLATO WINES]. [TERLATO WINES] reserves the right at its sole discretion to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the contest or website or violates these Terms & Conditions.

[TERLATO WINES] has the right, in its sole discretion, to maintain the integrity of the contest, to void votes for any reason, including, but not limited to; multiple entries from the same user from different IP addresses; multiple entries from the same computer in excess of that allowed by contest rules; or the use of bots, macros or scripts or other technical means for entering.

Any attempt by an entrant to deliberately damage any web site or undermine the legitimate operation of the contest may be a violation of criminal and civil laws and should such an attempt be made, [TERLATO WINES] reserves the right to seek damages from any such person to the fullest extent permitted by law.

By participating in the Contest, each entrant agrees to participate in publicity relating to the Contest including, but not limited to, photo shoots and interviews; all publicity materials arising from these will be the sole property of Sponsor. By participating in the Contest, each entrant agrees to release, defend, indemnify and hold harmless Released Parties from and against any and all claims, demands, expenses, losses and liabilities of any nature whatsoever caused or contributed to by: (i) entering or participating in the Promotion (including any claims of third parties alleging infringement, rights of publicity, rights of privacy or defamation or other intellectual property rights); (ii) the acceptance, use or misuse of any Prize; and/or (iii) participation in any Prize-related activities or travel.  By participating in the Promotion and accepting a Prize, entrant irrevocably grants to Sponsor and its designees, the unconditional and perpetual right and permission to use the entrant's name, address (city, state, country), image, voice, likeness, statements, biographical material and entry/submission, including, but not limited to any video, still image, likeness, photos, names, special effects or digital or other recording, performances or other material contained in such entry/submission, as submitted or as edited, altered or modified in any way by the Sponsor or its designee(s) in the Sponsor’s sole discretion) as well as any additional photographic images, video images, portraits, interviews or other materials relating to the entrant and arising from his/her participation in this Contest in any and all media now known or hereafter devised, throughout the world in perpetuity, for advertising, Promotion or any other purposes, without limitation and without additional review, notification, compensation, or approval from the entrant  (unless prohibited by law).  Entrant further agrees to release, indemnify and hold harmless Sponsor and its respective parents, subsidiaries, and affiliates from any and all claims that any commercial, advertising, presentation, web content or any other material subsequently produced, presented and/or prepared by or on behalf of Sponsor infringes on the rights of entrant’s work as contained in any submitted entry.

By entering, each entrant warrants and represents (i) that each individual featured or visible in entrant’s entry/submission appears to be and is at least 25 years of age or older at the time the entry was initially shot or otherwise prepared; (ii) that the entrant owns all rights to the submission he/she is entering in this contest, including, without limitation, the video or digital recording, and the performance contained in each submission, with the exception of any Sponsor brand assets provided or made available by the Sponsor for use by entrants in connection with this Promotion; (iii) that the entrant is the individual pictured and/or heard in the submission, or, alternatively, that the entrant has obtained permission from each and every person appearing in the submission, granting full exhibition rights to the Sponsor as described in these Official Rules, and can make written copies of such permissions available to the Sponsor upon request; and (iv) that his/her submission(s): (a) is original to the entrant and has been legally obtained and created, (b) does not infringe the intellectual property, privacy or publicity rights or any other legal or moral rights of any third party, or violate applicable laws, rules regulations, or network standards; and (c) has not been entered in or won any previous contests or awards.  By submitting an entry/submission, entrant warrants and represents that he/she consents to the submission and use of the entry/submission in this Promotion and to its use as otherwise set forth herein.

Prize award is subject to verification of eligibility and compliance with these Official Rules.  Any and all Federal, state and local taxes on Prizes, and any other costs, fees and expenses not explicitly stated herein as being awarded, are the sole responsibility of the Winner. All Prize details are at Sponsor’s sole discretion. Sponsor reserves the right to conduct a background check, including but not limited to criminal history. To the extent required by law, winners shall authorize this check. Neither Sponsor nor its parents, affiliates or subsidiaries accept liability or damages for any injury, illness or damage caused to entrants or the consequence of any actions taken by any winners in the Contest or injury to the winners when receiving the Prize or during any prize travel.

10. Limitation of Liability: By entering you agree to release and hold harmless [TERLATO WINES] and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers and directors from any liability, illness, injury, death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by negligence or not, from (i) such entrant's participation in the contest and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof, (ii) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (iii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Promotion; (v) electronic or human error which may occur in the administration of the Promotion or the processing of entries.

11. Disputes: THIS contest IS GOVERNED BY THE LAWS OF NEW YORK WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this contest, participants agree that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with this contest, shall be resolved individually, without resort to any form of class action, exclusively before a local court having jurisdiction. Further, in any such dispute, under no circumstances will participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental, or consequential damages, including reasonable attorneys' fees, other than participant's actual out-of-pocket expenses (i.e. costs associated with entering this contest), and participant further waives all rights to have damages multiplied or increased.
